From a company with an initial capital of ALL 3.5 million to a bank with capital of ALL 2.46 billion within a matter of months. Meanwhile, ownership passes to a Dutch holding company, while Idan Avishai continues to appear in the Beneficial Owners Register as the controller of 71.52% of the capital. The new structure includes companies from Cyprus, Israel and the Netherlands, while several individuals linked to the bank have a documented history in the Forex business.
The story of JET Bank begins with the company “JET ALBANIA,” which had Idan Avishai as its sole shareholder and administrator.
On July 31, 2025, by decision of the sole shareholder’s assembly, Avishai stepped down as administrator and Fatbardha Rino was appointed in his place.
However, his departure from the management did not mean that he had severed his ties to the ownership structure. According to data from the Beneficial Owners Register filed with the National Business Center (QKB), Avishai would continue to be listed as the beneficial owner of a substantial portion of the bank’s capital.
January 2026: JET Albania becomes JET Bank
On January 19, 2026, by decision of the sole shareholder’s assembly, the company’s name was changed from “JET ALBANIA” to “JET Bank.”
On the same date, the trade name “Jet Bank” was also added.
The change of name marked another stage in the project, while the management structures were also changed during the same period.
Philippe Edgar Meyer, Robert Ryan Rudolph, Fatbardha Rino, Aigest Milo and Alketa Emini were appointed to the Supervisory Board, with their terms beginning on January 19, 2026.
Subsequent registrations show the departure of Robert Ryan Rudolph, Alketa Emini, Fatbardha Rino and Philippe Edgar Meyer from the bank’s governing bodies.
January 26, 2026: The direct owner changes
One day after the change of the company’s legal and trade name, another important move took place in the ownership structure.
According to the share purchase agreement dated January 26, 2026, Idan Avishai sold 100% of the shares he owned to Jet Holdings B.V. The sale price was ALL 972,000.
The transaction was registered with the QKB on January 27, 2026. Avishai ceased to be a shareholder, while Jet Holdings B.V. became the sole shareholder, owning 100% of the shares.
At first glance, this would appear to indicate Avishai’s departure from direct ownership. However, the documents concerning beneficial ownership tell a different story.
Avishai continues to be listed as the beneficial owner of 71.52%
According to the Historical Extract of the Beneficial Owners Register, filed with the QKB on February 16, 2026, and retrieved on September 10, 2026, Idan Avishai, a British citizen, is listed as the beneficial owner of 71.52% of JET Bank’s capital.
According to this documentation, control is exercised through a chain of companies.
Avishai owns 100% of Constador LTD, a company registered in Cyprus under registration number HE 478734.
Constador LTD owns 71.52% of Jet Holdings B.V.
Meanwhile, Jet Holdings B.V. owns 100% of JET Bank.
Jet Holdings B.V. is a company registered under Dutch law, headquartered in ’s-Gravenhage, with registration number 98334050.
According to the Beneficial Owners Register, the date on which Idan Avishai was identified as the beneficial owner was July 8, 2025.
Thus, while Avishai formally ceased to be the direct shareholder of the Albanian company in January 2026, the Beneficial Owners Register continues to identify him as the beneficial controller of 71.52% of JET Bank through the Constador LTD–Jet Holdings B.V. structure.
Six companies behind Jet Holdings
The ownership structure of Jet Holdings does not consist solely of Constador LTD.
According to the filed documentation, Jet Holdings has six corporate shareholders:
Constador LTD, registered in Cyprus – approximately 71.5%;
Don Albania Holdings LTD, registered in Israel – 3.7%;
Ori Eyal LTD, registered in Israel – 2.6%;
Yebogogo LTD, registered in Israel – 4.9%;
Nathan Lawrence LTD, registered in Israel – 4.9%;
Israel Albania Holding LTD, registered in Israel – 12.4%.
Thus, behind the direct shareholder—a Dutch company—there is a structure consisting of companies registered in Cyprus and Israel, with the largest share of control linked to Constador LTD.
From ALL 3.5 million to ALL 2.46 billion in capital
One of the most significant changes at JET Bank during 2026 has been the increase in its capital.
The company’s founding capital was ALL 3.5 million. Within a few months, however, the capital was increased several times.
On February 23, 2026, the sole shareholder approved a capital increase of ALL 1.056 billion through a cash contribution by the sole shareholder. Following this increase, the capital reached ALL 1.0595 billion.
On April 16, 2026, another increase of ALL 136.731 million was approved, this time through the capitalization of a loan converted into Albanian lek. The capital reached ALL 1.196231 billion.
Just a few days later, on April 22, 2026, another increase of ALL 382.040 million was approved through a cash contribution by the sole shareholder. The capital reached ALL 1.578271 billion.
On June 5, 2026, a further ALL 336.015 million was added to the capital through a contribution in liquid assets by the sole shareholder. The capital increased to ALL 1.914286 billion.
And on August 25, 2026, another increase of ALL 551.1 million was approved, again through a contribution by the sole shareholder in liquid assets.
Following this increase, JET Bank’s capital reached:
ALL 2.465386 billion.
In other words, from an initial capital of ALL 3.5 million, the company grew to capital of approximately ALL 2.46 billion through five consecutive capital increases during 2026.
The names behind the bank and the Forex connections
Another element that stands out in this structure is the professional background of several individuals involved in the bank and their links to the Forex industry.
Louis Grant Silver, a director of Constador LTD, has a career in foreign-exchange investment, commonly known as Forex.
According to available materials, Silver still serves as an active director at Fortrade Limited, a company operating in this sector.
His associate Oliver Hemmer is also listed as a director of Fortrade Cyprus, the company’s Cypriot subsidiary.
Idan Avishai is also part of this picture. In addition to still being listed as the beneficial owner of 71.52% of JET Bank according to the Albanian register, he is associated with Fortrade and has extensive experience in the Forex industry.
These links are particularly relevant because of the roles these individuals have or have had in structures connected to JET Bank.
A formal change, while beneficial ownership remains in the same hands
The chronology of events points to a rapid transformation.
In July 2025, Idan Avishai stepped down as administrator. In January 2026, the company changed its name from JET ALBANIA to JET Bank and added the trade name Jet Bank.
A few days later, Avishai sold 100% of his shares to Jet Holdings B.V.
However, the Beneficial Owners Register document filed with the QKB in February and retrieved in September 2026 once again identifies Avishai as the beneficial owner of 71.52% of JET Bank, through Constador LTD and Jet Holdings B.V.
At the same time, the bank’s capital increased from ALL 3.5 million to ALL 2.465 billion, while companies from the Netherlands, Cyprus and Israel appeared within its ownership structure.
Above all, another issue that warrants attention is the connection of several key individuals to the Forex industry, including names such as Louis Grant Silver, Oliver Hemmer and Idan Avishai.
In this context, the story of JET Bank is not simply the story of a name change. Within a few months, there was a change in the direct shareholder, the creation of a new international ownership structure, changes in the governing bodies and an extraordinary increase in capital, while the beneficial ownership of the bank’s largest stake continues, according to the filed documents, to be linked to Idan Avishai.
This structure raises questions regarding ownership transparency, the origin and manner in which the capital was injected, as well as the relationships between the individuals behind the bank and the Forex industry.
These are precisely the elements that make it necessary to examine the bank’s control structure and its history beyond merely the formal changes recorded in company registers.
